Dezines Internet Solutions Limited has provided the following terms & conditions to help our clients understand any work or services we provide for them. If you are unsure about any of the following information, please contact us accordingly.
Our Design & Artistic Terms
1. TIME FOR PAYMENT: Client agrees to pay an initial minimum deposit of 50% of quotation or estimated cost of project. All invoices shall be paid within fourteen (14) days of receipt. An administration fee of £12.50 will be added to all outstanding balance invoices.
2. CHANGES: Client shall make additional payments for changes requested in the original assignment brief, where the quoted or estimated cost of the project is shown to be more than originally agreed. However, no additional payment shall be made for changes required to conform to the original assignment brief. The client shall offer Dezines Internet Solutions Limited, first opportunity to make any such changes.
3. EXPENSES: Client shall reimburse Dezines Internet Solutions Limited for all expenses arising from the assignment, including but not limited to, all those expenses listed in the contract purchase order and the payment of any sales taxes due on the assignment. Client's approval shall be obtained for any increase in fees or expenses that exceed the original estimate by 20% or more.
4. CANCELLATION: In the event of cancellation of a signed contract purchase order made between us 'Dezines Internet Solutions Limited' and you 'the client', ownership of all copyrights, intellectual property rights, the original artwork, photography, interactive media, video/film production including DVD production and any e-commerce design or content management design, shall be retained by us Dezines Internet Solutions Limited. A cancellation fee for work completed, based on the contract purchase order price and expenses already incurred, shall be paid by the client. Such expenses include but are not limited to webspace and domain name costs already paid for to our Internet Service Providers.
5. OWNERSHIP OF ARTWORK: Dezines Internet Solutions Limited retains ownership of all original artwork, photography, video, film, DVD, interactive media, e-commerce design, content management design, intellectual property rights and the like, whether preliminary or final. Client may purchase licences to use our work where permission to use continuously hasn't been granted either expressly or implied in the contract purchase order. Client shall return where supplied within fourteen (14) days, all such artwork or material including printed work, film/video, storyboards, sketches, DVD, interactive media, flash files of all types, PDF files, photographic images whether printed or in digital format, contact sheets & media cards containing such creative work that we have passed to you. Client's own artwork or creative material remains theirs. To prevent future litigation against us, we always require a signed copyright protection release to confirm copyright ownership rights, from the client before we will use such work. Such releases have to be received at our studio before we will commence work. If having commenced or completed an assignment for the client, we find that the client does not in fact have rights of copyright ownership for material supplied, then we reserve the right to cancel the assignment accordingly and our 'Cancellation' term at point 4 above applies, although we will endeavour to work with the client & any third party in resolving any such issues before we take this measure.
6. CREDIT LINES: We require a credit line for all our photographic work which is printed in any publication, whether or not we have recieved any payment for images supplied. For any website design we create, we require a URL link to our website in the form of 'Dezines Internet Solutions Limited Copyright © 2009. All Rights Reserved'. All of our interactive work and film/video production shall also include a credit line in the format previously mentioned.
7. RELEASES: Client shall indemnify Dezines Internet Solutions Limited against all claims & expenses, including reasonable legal fees, due to uses for which no release was requested in writing or for uses which exceed authority granted by a release.
8. MODIFICATIONS: Modification of the contract purchase order must be written, except that the final invoice may include and the client shall pay, fees or expenses that were verbally authorised in order to progress promptly with the assignment.

Our Competition/PR Prize Offer Terms
Any prize won in a competition or draw whether on payment or otherwise is awarded at our discretion. We do not require payment for such a prize and payment or any other matter relating to the issue of winning ticket(s) need to be raised with the event organiser accordingly. The prize is not transferable and no cash alternative will be offered. Any prize issued will be provided with our normal guarantees of quality and where applicable come with relevant manufacturers warranties and service standards. We will endeavour to work with a prize winner at mutually suitable times with a view to deliver completed projects in a timely manner.
If the prize is a professional photoshoot, then prize winners agree to make themselves available at a reasonable time and within the specified time period that a prize is available to be claimed. The prize winner accepts that if they fail to make themselves available for any reason and the prize becomes time expired - then Dezines Internet Solutions Limited & or Kerry Ballard Digital, will not be obligated to make any other offer to replace the original prize. Any such offer we may make in such circumstances is at our complete discretion. Any photographic prize will be given either mounted & framed in a style to suit your preference, or in a contemporary coffee table photo book. Any images provided to you on disc remain the property of Dezines Internet Solutions Limited & or Kerry Ballard Digital. We reserve all rights of copyright, ownership and any Intellectual Property Rights of the images taken by us. You will be free to use images supplied to you for personal, non commercial reasons. You may not sell any images to any third party, company, stock library or photo agency or any commercial interest without our express written permission. We will defend our commercial & copyright infringement interests through the UK & International courts. Copyright infringement is a criminal offence in the UK and throughout the developed world.
We require prize winners to participate in any promotional material we may create, which we may or may not use in the future. Such promotional material will be testimonials, photographic capture of the delivery of a prize and all reasonable promotional material we may use. Such material may be printed & or used on our website. We also require prize winners to complete a 'Certificate of Completion' to evidence delivery of a project, which certifies that a prize meets the expected and agreed standards. If the prize winner fails to accept this term, then we may withdraw the offer of the prize accordingly. Any personal information collected during the creation of promotional material will not be given to third parties except under circumstances indicated in our Data Protection Statement.
